Production Issues

Because of inherent variations in the printing of colors, Saycoin assumes no responsibility and makes no guarantees regarding exact color matches of a product or production.

Payment Terms

Except when authorized by Saycoin in advance, full payment is required prior to the start of any production.

Finality of Order; Changes

Once you confirm an order to Saycoin, either through verbal authorization, in writing or by electronic transmission, the order as submitted and processed is final. An order may not be cancelled after confirmed by you unless allowed through the express written consent of Saycoin.

Changes may be made before the beginning of production of an order, however, any changes are subject to a $35.00 change fee. Once an order is confirmed, any errors, inaccuracies or omissions made during the placement or production of an order shall be your sole responsibility.

Return Policy

No returns on customized goods will be accepted unless a clear production error has been made by Saycoin that is in obvious conflict with your specifications as provided on the confirmation of an order for goods. Any request for a return of goods purchased should be sent to Saycoin at the following address:

Upon receipt of a your Notice of Request for Return, Saycoin retains the sole and complete discretion to authorize, or refuse to authorize, the return of goods purchased by you. Any return of goods must be authorized in writing by Saycoin. If Saycoin authorizes a return of goods, you must return the goods to Saycoin before Saycoin will ship the corrected replacement goods. You are responsible for payment of the cost of shipping the returned goods back to Saycoin unless Saycoin provides written authorization to pay these shipping costs.

Shipping

Saycoin will not be responsible for loss or damage of products occurring in the shipping of goods. You will be responsible for checking shipment upon delivery for the number of goods and condition of the goods. Any problems related to the total number of goods or condition of the goods, must be noted and reported to the shipping carrier’s office in writing within 48 hours from the date of receipt of delivery.

Limitation on Damages

Saycoin will not be liable for any loss of profit, interruption of business or any other special, consequential or incidental damages suffered or sustained by you. Any and all damages incurred by you shall be limited to the refund of the purchase price of the goods purchased by you provided that all of the terms and conditions of Saycoin, as provided on this site, are satisfied.

Limited Liability

SAYCOIN AND ITS RESPECTIVE MEMBERS, AFFILIATES, EMPLOYEES, AGENTS, SUCCESSORS, OFFICERS AND ASSIGNS SHALL NOT BE LIABLE FOR ANY LOSS OF BUSINESS, LOSS OF USE OR OF DATA, INTERRUPTION OF BUSINESS, LOST PROFITS OR GOODWILL, OR OTHER INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF THIS TERMS OF USE AGREEMENT, EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS AND WHETHER OR NOT THEY HAD ANY KNOWLEDGE, ACTUAL OR CONSTRUCTIVE, THAT SUCH DAMAGES MIGHT BE INCURRED, AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. THIS EXCLUSION INCLUDES ANY LIABILITY THAT MAY ARISE OUT OF THIRD-PARTY CLAIMS AGAINST YOU. YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE USE OF THE SERVICES PROVIDED ON THIS SITE OR THIS AGREEMENT MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED. YOU FURTHER AGREE IF YOU BECOME ENTITLED TO ANY RECOVERY, THAT YOUR RECOVERY SHALL BE LIMITED TO THE AMOUNT OF FEES OR PAYMENTS MADE TO SAYCOIN WITHIN THE SIX-MONTH PERIOD PRIOR TO THE EVENT OR ACTION GIVING RISE TO SUCH LOSS.

Indemnity

You shall indemnify, defend, and hold harmless Saycoin and its respective members, affiliates, employees, agents, successors, officers, and assigns, from any suits, losses, claims, demands, liabilities, costs and expenses (including attorney and accounting fees) that they may sustain or incur arising from (a) your use of the software available at this site; (b) your failure to comply with any applicable laws and regulations (including without limitations those regarding the export of products or technology abroad) or to obtain any licenses or approvals from the appropriate government agencies necessary to purchase the subject goods and services; (c) your use of the content available on the site in any way contrary to this agreement; (d) your breach of any of your representations, warranties or obligations set forth in this agreement; (e) alleged errors or omissions or misrepresentations in the information provided by you to Saycoin.

Beneficiaries of this Agreement; No Other Agreements

The rights and limitations in this agreement are for the benefit of Saycoin, and the named indemnified parties, each of which shall have the right to enforce its rights hereunder directly and on its own behalf. This terms of use agreement will be expressly incorporated by reference in each and every agreement between you and Saycoin. It supersedes any and all prior and existing agreements, whether oral or in writing, between you and Saycoin with respect to the subjects addressed in the terms of use agreement and constitutes the entire agreement between the parties with respect to those subjects. You acknowledge that neither Saycoin nor anyone on Saycoin’s behalf has made any representations, inducements, promises or agreements, orally or otherwise, to you relating to the subjects addressed by this terms of use agreement that are not embodied herein.

General

This site is created and controlled by Saycoin in the State of Texas and the laws of Texas govern this agreement without giving effect to any principles of conflicts of laws, and you and Saycoin agree to submit to the exclusive personal jurisdiction of the courts of Harris County in the State of Texas. Any waiver or amendment of any right or provision of this agreement will be effective only if signed by Saycoin and the failure of Saycoin to exercise or enforce any term of condition shall not constitute a waiver of such right or provision. If any provision of this agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of this agreement shall remain in full force and effect. Saycoin reserves the right to make changes to this site and this agreement at any time. You and Saycoin are independent contractors, and no agency, partnership, joint venture or other relationship between you and Saycoin is intended or created by this agreement.
